一、甲方自愿将座落于 商铺租赁给乙方使用，从事经营家具批发。

三、租金及付款方式：

乙方在租赁时按季度一次性结付商铺租金，并在每季末30日前一次性付清下季租金(特殊情况，可在次月5号前付清该季租金)，每年按商铺房产证面积每平方米20元算，即该商铺 2552元，每季度合计7656元，本次计算租金从20xx年1月1日起。

四、租赁期间：乙方不得有下列行为：乙方不得擅自改变商铺主体结构等。

五、乙方的权力和义务

(1)乙方在经营中所发生的费用(工商、纳税、卫生、水、电、物业管理、土地收益金等一切经营性和其它政策费用)均由乙方自行承担缴纳，乙方应合法经营。

(2)乙方应爱护好该商铺原有的固定设施，如有损坏应及时修复或予以赔偿。

(3)乙方必须按时足额缴纳租金。

(4)乙方在租赁该商铺经营期间，必须遵守市场的各项物业规定，服从市场管理。门面招牌的设置必须通过物业管理部门的批准。

(5)乙方有自觉履行防火防盗的义务，如有意外由乙方自行承担有关责任和损失。

(6)乙方经营中发生的任何经济责任与经济纠纷与甲方无任何关系，乙方不得把该商铺用于乙方的债务抵押，同时不得把该商铺用于从事任何非法活动。

(7)合同期满，乙方在同行条件下享有优先续租权，若乙方未能取得续租权，应按合同约定，按时撤离清场不得耽误。

(8)乙方在清场时，依附在该商铺不可分割的设施(含乙方的装修)或随该店铺一起交付时的固定设施乙方不得撤离和破坏，甲方不计算任何费用。

六、本合同在履行中如发生争议，双方应协商解决，协商不成时，任何一方均可向工商局经济合同号仲裁委员会申请调解或仲裁，也可向人民法院起诉。

七、在合同期内，如乙方转租给他方，必须征得甲方同意，并完善好有关交接手续。

八、本合同未尽事宜，一律按《中华人民共和国合同法》的有关规定，经合同双方共同协商，作出补充合同，补充合同与本合同具有同等效力。

九、本合同自签订之日起生效。

因本出租中存在作为出租方、转租方和承租方构成的甲乙丙三方的特殊关系，现在原房屋租赁合同的基础上起草一个三方协议，用于规范租赁行为。此协议与租赁合同具有同等法律效力。

根据《中华人民共和国合同法》、《中华人民共和国城市房地产管理法》及其他相关法律法规的规定，在平等、自愿、协商一致的基础上，甲乙双方就下列商用房的租赁达成如下协议，并签订本合同：

第一条： 房室基本情况

出租方出租的商用房(以下简称该商用房或承租商用房)坐落于中国矿业大学南湖校区地下超市内，建筑面积 12 平方米;原承租人租期到20xx年5月。现承租人转租原承租人的房屋，租期到20xx年5月。

第二条： 合同期限、租用标准

由于现承租人经营具有先期投资大的特点，因为决定了现承租人具有持续租房的意愿。因此在与原承租人合同到期(即20xx年5月)之后，希望与房屋的出租人即房东签订续租的协议，现就续签事项做以下规定：

1、 再与原出租人的协议到期之后(20xx年5月)，继续续签两年的房屋租赁合同，租期为20xx年5月至20xx年5月。房租为每年两万元(可由宏观经济情况上下浮动5%)，第一年房租(贰万元人民币)在20xx年5月份结清，第二年房租(贰万元人民币)在20xx年5月份结清。

2、 关于续租期间的职责范围：从20xx年1月至20xx年5月期间均为现承租方的租赁期间，在此期间内，现租赁房有权对房屋拥有装修经营的权利。续租期间，出租房(即房东)不能够将房屋租赁给其他人也不能够不租。现承租人如果确定不租的情况下要在找到下家的情况下才可以将房屋转给其他人。续租期间，双方均不能违约。违约金一万元人民币。

3、 房屋租赁期间，房东应该保障承租人的权益，比如保障店面的安全等。例如不可抗力情况下导致的房屋损失应房东承担;其次，承租人也应当保障房东的权益，例如承租人不得擅自损坏房屋，确保在租赁期间房屋的完整性和功能性

4、 双方商定在租赁期满或者合同正常终止后的十五日内，若承租人无拖欠房租及其费用时，在对商铺无损坏或者再将商铺拆除的隔墙恢复后，不影响二次租赁，房东保障将保障金全额退还给承租方(保障金不计利息)

5、 租赁勤俭有第三人对租赁房屋主张权利的，房东应当及时通知出租人。因第三人主张权利，影响承租人对租赁房屋使用收益的，乙方可以要求减少相应的租金。因不可归责于承租方原因是租赁房屋部分或者全部毁坏的，承租方可要求减少租金或者不支付租金。因租赁房屋部分或者全部毁损，致使不能实现合同目的的，承租方可以解除合同。现订立续签合同期为 20xx年 5月至 20xx年 5月 。付款方式为年付。租金为每年2万元整。租金应于每年提前15日支付。逾期不支付出租方有权视为承租方不再承租该商用房，另行租于第三方或收回商用房。

第三条： 商用房交付及收回

1、三方签订协议后即将商用房移交给现承租方使用。

2、合同期间违约应付违约金一万元人民币。

3、合同期满后，出租方应当先向承租方询问是否有意向续租 方可询问他人，承租方有意向续租的还应当以承租方为优先考虑。

4、承租方在自身合同期间内在经过出租方同意的前提下有权把房屋转租给他人。

4. On this contract signing date, the Lessor has received a deposit as rent security amounting to_______baht. Should the Lessee be overdue on rent payment for any month, the Lessee agrees for the Lessor to immediately deduct the amount due from the said deposit as rent payment.

9. The Lessor agrees that he shall not increase the rent for a period of 2 years from the date of this contract signing.

10. The Lessor agrees that upon expiration of this contract at the end of the lease period, the Lessor shall allow the Lessee to continue leasing for another period of___years, on condition that the Lessee has not breached this contract in any way.

11. The Lessee agrees to maintain the leased building in good condition and not allow it to further deteriorate. Any modifications or additions carried out on the leased building by the Lessee may be done only with the Lessor's prior written permission. Any new structure resulting from modification, addition or repair to the leased building becomes the property of the Lessor, and the Lessee cannot claim any damages. This lease contract is terminated should the leased building be subject to a fire disaster.

承租人同意将所租建筑保持良好状态，并不得任其损坏。如果承租人对出租房屋作任何调整或增添任何设施，事先必须征得出租人的书面同意。房内任何增添和装修过的设施都成为出租人的财产，而且承租人不得以此向出租人提出补偿要求。如果发生火灾，本租赁合同立即终止。

12. The Lessee shall permit the Lessor or his representative to enter the leased building for inspection at appropriate times.

承租人应允许出租人及其代表在适当的时间进入该房进行检查。

13. The Lessee shall not sub-let the building to any other persons, except with the prior written approval of the Lessor.

除非事先有出租人的书面许可，承租人不得把该房再出租给其他任何人。

14. For whatever reason, if the Lessee leaves the leased building, the Lessee agrees that he shall not claim any damages or removal costs from the Lessor.

不论出于何种原因，如果承租人离开所租房屋，承租人同意不得向出租方提出索赔或搬迁费的要求。

15. Breach of contract in any regard on the part of the Lessee shall be grounds for the Lessor to terminate this contract immediately; the Lessee shall then permit the Lessor to have right to repossess the leased building immediately.

承租人有任何违约行为，出租人便有权立即终止本合同。承租人应允许出租人有权立即收回该出租房屋。
